Bill of lading: what it means for cargo release.

Understand what a bill of lading records, how it differs from a sea waybill, and what to agree about release before choosing payment terms.

1. What a bill of lading actually does

A bill of lading (B/L) issued by a carrier or their agent performs three jobs at once:

  • A receipt. It records what the carrier received and when. A “clean” bill has no note of apparent damage or defects in the goods or packing. A “claused” bill has such a note. Ask your insurer how a note affects cover or a claim.
  • Evidence of the contract of carriage. It records the terms for carrying the goods, including limits on what the carrier may owe for loss.
  • A document of title. A negotiable bill can pass rights to the goods to a new holder. Check the named recipient and any endorsement needed. Ask what the carrier needs for release. A copy is not an original.

Two related documents are often confused with it. The commercial invoice states what was sold and is what customs reads for value, and the packing list states how it is packed. Neither controls release of the cargo. Reading those two against the order is a separate check.

2. Document types and release procedures

Ask the carrier which document it will issue and what the recipient must present. The type of bill does not tell you every release step.

  • Original B/L. Ask who holds the originals. Check whether they need to be endorsed and where to present or surrender them. Do not assume every original bill is negotiable.
  • Telex release. The carrier approves release at destination after the originals are surrendered. Check its rules and the release status. A request alone is not proof of approval.
  • Sea waybill. It names who will receive the goods and cannot be traded by endorsing the paper. The carrier checks that person or company before release.

Electronic bills also exist. Under China’s 2025 Maritime Code, qualifying electronic transport records can have equivalent legal effect. A holder must have reliable, exclusive control of a transferable record. Check the law, system and carrier rules for your shipment. A PDF copy alone does not meet that test.

3. Where this meets your payment terms

Write the document type, payment trigger and release instructions into the same agreement. If a bank handles the bills, check what it needs before the goods ship.

Holding originals may affect delivery, but it does not guarantee payment or the condition of the goods. Check the sale terms, bank terms and carrier rules as separate steps.

For telex release, ask who can request it and when. Agree how to record approval. Do not assume release status from an email saying it has been arranged.

Record changes to these instructions with the buyer and seller. Use the purchase-order checklist to keep the agreed version clear.

Company records do not identify this shipment’s exporter

The shipper may be your seller, a related firm or another party. A company search alone cannot tell you which applies. In licensed platform queries on 21 August 2026, import/export credit records were returned for 41 of 45 companies in the NHTSA-derived study cohort.

A missing platform result does not prove that a company lacks export eligibility. A returned record does not name the exporter for your goods either. Ask who will take that role for this shipment.

Ask who will be named as shipper and how that entity relates to the manufacturer and contract seller. Keep their full legal names and the written explanation with the order.

The 45-company study measures returned company data. Inclusion in a manufacturer list does not prove sales, exports or goods on US roads.

4. The names on the document, the check that is easiest to skip

Compare the bill with the contract, invoice and packing list. Record differences before they affect instructions.

  • Shipper. Identify the entity and retain the written explanation for any difference from the contract seller.
  • Consignee and notify party. Check names and contact details with the carrier or broker. Errors can delay notices or release.
  • Description and quantity. These should reconcile with the commercial invoice and the packing list. Discrepancies between the three documents are read together by customs.

If payment also goes to a different entity, compare the beneficiary with the seller. Use a dated company record to check the registered identity.

Common questions

What is a bill of lading?

It is a carrier receipt and evidence of the carriage contract. A negotiable bill can also act as a document of title. Delivery depends on the document, applicable law and carrier requirements.

Is every original bill of lading negotiable?

No. Check whether it is a straight, order or bearer bill and which law applies. Original status alone does not establish transferability.

Can an electronic bill of lading replace paper?

A qualifying electronic transport record may have equivalent legal effect under applicable law. Confirm the agreed system and carrier requirements. An ordinary PDF copy does not by itself establish transferable electronic control.

Does the shipper have to be the manufacturer?

The shipper may be a different entity. Identify its role and relationship to the seller in the actual shipment. Company-record presence or absence does not decide who can appear on that bill.
