Is a change in a Chinese supplier's company record a red flag?

By itself, no. China's registration rules include change registration as a normal mechanism. A change is a dated evidence question. It does not establish that a supplier is risky, safe, genuine or fraudulent.

What should I record when I see a changed field?

Record the field, before-and-after wording, displayed change date and capture date. Keep them separate from the current official result, deal documents and supplier explanation. Give each record its own date and source.

An old supplier document shows different details from the current record. Which applies?

Do not use an old document as a substitute for the current record. Ask which version was used for the relevant quotation, contract, invoice or payment step. Keep a material decision open until the relationship and timing are clear enough for your order.

China supplier change-record check: reading dated changes

Q: Which company fields can change under China's registration rules?

The market-entity registration regulation lists the company name, business scope, residence or principal place of business, registered capital and legal representative. A relevant change is subject to change registration.

This note is for a buyer who has seen a changed company field or an older document from a Chinese supplier. It does not investigate a specific company, change record or transaction.

Record dates vary by source. In a separate US-regulator sample of 106 Chinese manufacturers, 73.6% of records had not been updated in over a year as of 28 August 2026. Check the date in each source before comparing it with a Chinese record. See the 106-manufacturer record-age study →

Do not use an old document as a substitute for the current record

China’s market-entity registration regulation covers establishment, change and cancellation registration. It lists matters including the name, business scope, residence or principal place of business, registered capital and legal representative; a relevant change is subject to change registration.

In the 8 August 2026 study of 264 recognised elite manufacturers, every company had registered changes on record. The median was 39 entries, and 54.9% had amended a field in the previous 12 months. These figures describe that sample; check your supplier’s own dates.

Keep the current official result separate from any historical change display and from the date on a quotation, contract, invoice or supplier explanation. A date answers “when was this shown or issued?” It does not by itself answer why the change occurred or whether a commercial relationship is acceptable.

A change record is a dated evidence question, not proof of fraud. It does not establish the current supplier identity, signatory authority, factory capability, payment safety, product compliance, contract enforceability or order performance.

MEASURED / HOW ORDINARY IS A CHANGE

41 of 45 sampled manufacturers had change records

Change records were queried on 21–22 August 2026 for 45 Chinese manufacturers. The sample covers each company on the NHTSA vehicle-manufacturer list that matched exactly one Chinese entity.

Change records were returned for 41 of the 45 companies. Historical shareholder records were returned for 33. The presence of a historical shareholder record alone does not describe an ownership change. Read the before-and-after fields to find out what changed.

The results were paginated at 20 items. Where 20 were returned, the count is a lower bound. It is not the company’s complete change total, and the number does not explain why a change occurred.

Focus on the field and timing. A recent name change may affect which seller appears on your contract. Many older scope changes may have no bearing on this order. See the sample and matching method in the NHTSA manufacturer study.

Make the follow-up specific to the changed field

Check the field that changed:

Name: match the old and current names to the company code. Ask which name belongs on your contract and invoice.
Address: ask whether the production site moved or only the registered address changed.
Legal representative: confirm the signer’s authority separately.
Capital: ask what changed in the contribution record. The figure does not establish funds available for your order.

Method and limitations

The official sources were checked again on 5 September 2026. The regulation identifies the fields subject to change registration. The expert commentary hosted by SAMR describes archives covering a company’s formation, changes and closure. These sources do not explain any particular supplier’s change or establish who can sign for it.
